1. Introduction and Acceptance

Welcome to Fraxnl ("Platform", "we", "us", or "our"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "Partner") and Fraxnl regarding your access to and use of our website, mobile application, and related services (collectively, the "Services").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Platform.

2. Definitions

"Platform" refers to the Fraxnl website and mobile applications.
"Partner" means independent third-party restaurants, canteens, food hubs, or kitchens listed on the Platform.
"User" means any individual who accesses or uses the Platform.
"Order" means a request by a User to purchase Food and Beverages from a Partner through the Platform.
"Content" means text, graphics, images, music, software, audio, video, information or other materials.

3. Role of Fraxnl

Fraxnl is a technology platform that connects Users with Partners. We authorize Partners to list their menu items and prices on our Platform. We act as an intermediary to facilitate:

The display of menu items and prices by Partners.
The acceptance of Orders by Partners.
The collection of payments from Users on behalf of Partners.

Fraxnl does not prepare, cook, package, or sell food. The Partner is solely responsible for the preparation, quality, hygiene, and delivery of the food compliant with applicable laws.

4. User Accounts

To use certain features, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the confidentiality of your account credentials.
Accept responsibility for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

5. Orders and Financial Terms

5.1 Ordering

When you place an Order, it is an offer to purchase the items from the Partner. The Partner has the discretion to accept or reject your Order. An Order is considered confirmed only when you receive a confirmation notification.

5.2 Pricing and Taxes

All prices listed are determined by the Partner. Prices may change at any time without notice. The final price payable includes applicable taxes and fees as required by law.

5.3 Payments

You agree to pay the total amount for the Order using the payment methods available on the Platform. We collect payments on behalf of the Partner.

5.4 Cancellations and Refunds

By User: You typically cannot cancel an Order once it has been confirmed by the Partner. If you cancel after confirmation, you may be charged a cancellation fee up to 100% of the Order value.
By Partner/Fraxnl: We reserve the right to cancel an Order due to unavailability of items, technical errors, or force majeure events. In such cases, you will be fully refunded.
Refunds: Refunds for eligible cancellations or failed orders will be processed to the original payment method within 5-7 business days.

6. Intellectual Property Rights

The Platform and its original content, features, and functionality are owned by Fraxnl and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial use.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL FRAXNL, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to defend, indemnify and hold harmless Fraxnl and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. Use of the service prior to valid updates constitutes acceptance of the terms in force at that time.
